Joint Business Contract Offer

Phalanx Corporation would like to offer Kewlguy's Trucking Incorporated (hereinafter sometimes referred to as "Trucking company") a Joint Venture Business Contract, concerning the acquisition of 50% (fifty-percent) of Kewlguy's Trucking Incorporated shares in exchange for multiple services.



The parties therefore agree as following:


- Phalanx Corporation will acquire 50% (fifty-percent) of Kewlguy's Trucking Incorporated stocks.

§1 - Phalanx Corporation will become Kewlguy's Trucking Incorporated legal representative.
§1.1 - If legal issues arise between Phalanx Corporation and the management of Kewlguy's Trucking Incorporated management, the Trucking company shall earn back their legal autonomy.

§2 - The 50% share of Kewlguy's Trucking Incorporated profits belonging to Phalanx Corporation will be remain with the Trucking company for the payment of staff wages, vehicle fuel, eventual repairs, physical and legal damage reimbursements and extraordinary events.

§3 - Phalanx Corporation will be responsible for pressing Kewlguy's Trucking Incorporated copyright requests.
§3.1 - Phalanx Corporation will be responsible for the full payment of the initial copyright fee;
§3.2 - Further renewal costs will be paid from Kewguy's Trucking Incorporated treasury, as of what has been written in §2;
§3.3 - Kewlguy's Trucking Incorporated Intellectual Property will be shared between the Trucking company and Phalanx Corporation, allowing the distribution and use of "Kewlguy's Trucking Incorporated" trademark for both parties;
§3.3.1 - Profits from the sale and/or lease of "Kewlguy's Trucking Incorporated" trademark shall be distributed according to each of it's owners percentage of shares.

§4 - Phalanx Corporation will be responsible for the Trucking company's topic and graphic design improvements, being up to the owner of Kewlguy's Trucking Incorporated to accept them or not.

§5 - Any assets purchased for the company shall be evaluated and added to the Company's equity. The money from the sale of any of them shall then be split according to each party's contribution.

§6 - Kewlguy's Trucking Incorporated management shall publish a monthly balance regarding the Trucking company's equity, treasury, gains, costs and total profit. They may request aid from Phalanx Corporation in order to do it.

§7 - Phalanx Corporation will be responsible for offering financial aid (loan) to Kewlguy's Trucking Company, if necessary for the payment of costs mentioned at §2, at the maximum value of $5000,00 ARD (Five-thousand Argonath Dollars) and at the maximum rate of 3% (three percent) per month, at the maximum period of three months.
§7.1 - No further loans will be offered until the initial one has been paid.

§8 - If any of the parties fail to adhere to their obligations, the harmed party must warn the other one before taking legal action. If the issues are not resolved within the period of 30 (thirty) days of the warning, legal action is allowed.
