IV itself is a rather odd system, at times setting graphics to medium actually reduces lag.
Although have you given a try with this topic I created; How to remove lag and gain FPS on GTA IV.

You're not really comparing a Dual-Core to Quad-Core and say the Quad-Core has less power in game like GTA IV?

Im running a Core 2 Duo E8400 3Ghz
4Gb Ram
Nvidia GTX560 and I still get lag spikes, so rather try go for a Core 2 Quad.

Dual Core = Core2Duo

If you're switching for something, definately go for a Quad :)

Dual Core is the predecessor (older version) of Core 2 Duo.

That is actually a common misconception. "Core Duo" and "Core2 Duo" are model family lines of Intel's Dual-Core CPU's.
"Core Quad" and "Core2 Quad" are also model family lines of Intel's Quad-Core CPU's.

"Core" and "Core2" are the families, and "Duo" and "Quad" are the specific model lines.
