well the problem is this.
GTA IV atleast requires the Pixel Shader model 3.0  but in your pc specs its only 2.0
soo only thing you can do is that you should upgrade to Shader model 3.0......

1. Extract the Rar File using Winrar. ( Right Click and Extract )
2. Open the Extracted file .
3. Open the file name "DirectX_jun2008"
4. Drag down until you find a file/setup name DXSETUP .
5. Follow the Instructions .

Note : Try installing Microsoft C++ if possible. Tell me if its working or not.

Still the same Error after Downloading DirectX  & Btw Microsoft C++ is Installed in my PC already

Try updating your Graphics Driver. Updates may fix the problem. Anyway, I will recommend you to Reinstall the GTA IV Fully from PC. Once you uninstalled,try deleting the GTA IV directory Folder and reinstall. Thus, Your Graphic Card is old. ATI has been changed to AMD years ago. I prefer you to update a graphic card. I am sure this relates to the graphic/hardware problem.

as i told you its your pixel shader its 2.0 , GTA IV atleast requires pizel 3.0....
